Podcast Guest Agreement and Release

Thank you for being a guest on All American Why. We value thoughtful conversation and want this to feel like a collaborative and respectful experience. This agreement explains how the recording may be used and helps make sure everyone is on the same page so we can focus on having a great conversation.

This Podcast Guest Agreement and Release (the Agreement) is entered into by and between All American Why Podcast, a DBA of My Creative Vitality LLC, an Oregon limited liability company (Producer), and the undersigned individual (Guest), as of the date signed below.

1. Purpose of the Recording
Guest has agreed to participate in a podcast episode, interview, event, or related recording produced by All American Why Podcast (the Podcast). The Podcast is a forum for discussion, ideas, and storytelling through recorded conversation.

2. Consent to Record and Use
Guest knowingly and voluntarily consents to being recorded in audio and or video format. Guest grants Producer the right to record, edit, reproduce, distribute, publicly perform, and publicly display the Guest’s participation, including the Guest’s voice, likeness, name, and statements.

These rights apply to use on podcast platforms, websites, social media, promotional materials, and any current or future media formats or distribution channels owned or operated by Producer.

3. Ownership and Editorial Control
Producer will own all rights, title, and interest in the final Podcast recording and any related promotional or derivative content.

Guest understands that Producer may edit, excerpt, adapt, or otherwise modify the recording for clarity, length, or format, while making reasonable efforts to preserve the integrity of the conversation. Guest waives any right to inspect or approve the final content or its use.

4. Promotional Use of Name and Likeness
Unless Guest requests otherwise in writing before publication, Guest grants Producer permission to use the Guest’s name, voice, image, likeness, and approved biographical information in connection with promoting the Podcast or Producer’s related work. This may include audio clips, quotes, photographs, social media posts, webpages, and marketing materials.

5. Voluntary Participation and No Compensation
Guest understands that participation in the Podcast is voluntary. No monetary compensation will be provided for the recording, editing, distribution, or promotional use of the Guest’s participation unless otherwise agreed to in writing.

6. Guest Representations and Responsibility
Guest represents that they have the right to share the content they provide and that their statements, stories, or materials do not knowingly infringe on the rights of any third party.

Guest agrees to be responsible for their own statements and agrees to indemnify and hold harmless Producer from claims arising directly out of content provided by the Guest, excluding claims arising from Producer’s editing or use outside the scope of this Agreement.

7. Guest Attribution and Links (Optional)
If Guest chooses to share a website, social media handle, project, or business during the recording, Producer may include that information in show notes, episode descriptions, or related promotional materials. Inclusion is not guaranteed and remains subject to editorial discretion.

8. Confidentiality and Off the Record Requests
Guest understands that the Podcast is intended for public distribution. If Guest wishes to designate any portion of the conversation as confidential or off the record, Guest must clearly state this during the recording or notify Producer in writing before publication. Producer will make reasonable efforts to honor such requests but is not obligated to do so unless confirmed in writing.

9. Independent Views and No Endorsement
Guest understands that any views or opinions expressed during the Podcast are their own and do not necessarily reflect the views of Producer or My Creative Vitality LLC. Participation does not imply endorsement of Guest or Guest’s statements.

10. No Professional Advice
Guest acknowledges that the Podcast is for informational and discussion purposes only and does not provide legal, medical, financial, or other professional advice. Guest agrees not to represent their participation as professional advice unless expressly stated during the recording.

11. No Obligation to Publish
Guest understands that Producer is not required to publish or distribute the recording and may decide not to release an episode for any reason.

12. Release of Claims
Guest releases and forever discharges Producer from any claims related to the recording or use of the Podcast, including claims for invasion of privacy, right of publicity, defamation, or misappropriation, to the fullest extent permitted by law.

13. Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of Oregon.

14. Dispute Resolution and Mediation
If a dispute arises under this Agreement, the parties agree to first attempt resolution through good faith informal discussion. If the dispute is not resolved, the parties agree to participate in mediation before initiating any legal action. Mediation will take place in Oregon unless otherwise agreed in writing. Each party will bear their own costs unless agreed otherwise.

15. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.

16. Assignment
Parties may not assign this Agreement without each other’s written consent.

17. Survival
Sections relating to ownership, release, indemnification, governing law, and dispute resolution survive termination of this Agreement.

18. Entire Agreement and Signatures
This Agreement reflects the entire understanding between the parties and supersedes any prior discussions. Any changes must be made in writing and signed by both parties.
